Articles of Organization Form Instructions

The instructions are listed in numerical order to align with the form. They supplement the instructions on the form itself.

  1. NAME OF LIMITED LIABILITY COMPANY: The name must be written in the alphabet used to write the English language and may include Arabic and Roman numerals and incidental punctuation.
  2. DURATION: Most LLCs are perpetual, with no specific date when they have to be dissolved.
  3. PRINCIPAL OFFICE: The principal office may not be a PO Box, a commercial mail receiving agency, a mail forwarding business, or a virtual office.
  4. REGISTERED AGENT: An individual or a registered business with an Oregon street address who has agreed to accept legal documents on behalf of the LLC. The LLC cannot be its own Registered Agent.
  5. REGISTERED AGENT'S PUBLICLY AVAILABLE ADDRESS: This Oregon street address must be suitable for personal delivery of legal papers to the Registered Agent. The registered office may not be a PO Box, commercial mail receiving agency, a mail forwarding business, or a virtual office.
  6. ADDRESS WHERE THE DIVISION MAY MAIL NOTICES: An address where renewal notices will be mailed. Other types of mail will also be delivered to this publicly available address.
  7. HOW WILL THIS LIMITED LIABILITY COMPANY BE MANAGED? One choice is required. A member is an owner of the LLC. A manager may or may not be an owner. Who will manage this LLC?
  8. IF RENDERING A LICENSED PROFESSIONAL SERVICE…DESCRIBE…: “Professional” is defined with a specific list of professions in ORS 58.015 (5).
  9. OPTIONAL PROVISIONS: Any provisions beyond the first two require a separate attachment. BENEFIT COMPANY: Check this box only if the requirements are understood and agreed to. Use the link on the form to read what must be done.
    INDEMNIFICATION: Check this box to elect the provisions of ORS 63.160 – 63.170.
    SEE ATTACHED: Check this box if attaching a page with additional provisions. (These are rare.)
  10. NAME AND ADDRESS OF EACH PERSON WHO IS FORMING THIS BUSINESS: (ORGANIZER) Address(es) may be business or mailing address(es) for the organizer(s).
  11. LIST MEMBERS AND/OR MANAGERS…. Most banks require at least one Member or Manager be listed in order to set up a business bank account.
  12. OWNERS: (MEMBERS) Address may be a business or mailing address. This section is optional, but it is often required to set up a bank account.
  13. MANAGERS: Address may be a business or mailing address. This section is optional, but it is sometimes required to set up a bank account.
  14. INDIVIDUAL WITH DIRECT KNOWLEDGE: Any authorized representative who knows what the business does. The address may be a business or mailing address.
  15. EXECUTION / SIGNATURE OF EACH PERSON WHO IS FORMING THIS BUSINESS: (Organizer) This legal declaration must be signed. If another form is generated, this exact wording must be used.
