Application for Authority to Transact Business - Limited Liability Company Form Instructions

The instructions are listed in numerical order to align with the form. They supplement the instructions on the form itself.

  1. NAME: Must be identical to the name as registered in home jurisdiction, including punctuation. NOTE: The name must be written in the alphabet used to write the English language and may include Arabic and Roman numerals.
  2. REGISTRY NUMBER IN HOME JURISDICTION: “Registry Number” can be called an Entity #, File #, or another term in other states. It is used for verifying a business online. For a state with no online search tool, attach a Certificate of Existence (or Certificate of Good Standing). The certificate must bear a date within the last 60 days.
  3. DATE OF ORGANIZATION: Date organized (formed) in home jurisdiction.
    DURATION, IF NOT PERPETUAL: Most LLCs have no duration date.
  4. STATE OR COUNTRY OF ORGANIZATION: Home jurisdiction, the state of domestic registration.
  5. THIS FOREIGN LIMITED LIABILITY COMPANY SATISFIES THE REQUIREMENTS OF ORS 63.714(3): This statute says that a foreign LLC shall not engage in any activities that are prohibited for an Oregon LLC.
  6. NAME OF OREGON REGISTERED AGENT: A person or registered business with an Oregon street address who has agreed to accept legal documents and notify the LLC.
  7. REGISTERED AGENT’S PUBLICLY AVAILABLE ADDRESS: This Oregon street address must be suitable for physical delivery of legal papers during normal business hours. It may not be a PO Box, commercial mail receiving agency, a mail forwarding business, or a virtual office.
  8. ADDRESS OF PRINCIPAL OFFICE OF THE BUSINESS: Physical street address, either in the home jurisdiction or in Oregon. The principal office may not be a PO Box, commercial mail receiving agency, a mail forwarding business, or a virtual office.
  9. ADDRESS WHERE THE DIVISION MAY MAIL NOTICES: An address where renewal notices can be received.
  10. HOW WILL THIS LLC BE MANAGED? One choice is required. (A member is an owner of the LLC. A manager may or may not be an owner.) Choose the management statement that applies for your LLC in your home jurisdiction.
  11. EXECUTION: This legal declaration must be signed. If another form is generated, this exact wording must be used.
