Restated Articles Form Instructions - Limited Liability Companies

These instructions are intended for use when
restating the original articles for limited liability companies.
NAME OF THE LIMITED LIABILITY COMPANY:
NEW NAME OF THE LIMITED LIABLITY COMPANY (if changed): This should only be completed if the business name is changing.
A COPY OF THE RESTATED ARTICLES IS ATTACHED: It is required that the articles being restated are attached on a separate sheet of paper.
HOW WAS THE AMENDMENT APPROVED: Complete the information as required. If the amendment was adopted by the
manager without member action, check the appropriate section and state the date the amendment was adopted. If the amendment was approved by the members, include the information regarding the percentage of member approval and the date that the amendment was adopted.
PRINCIPAL PLACE OF BUSINESS: Physical street address. The principal office may not be a commercial mail receiving agency, a mail forwarding business or a virtual office.
INDIVIDUAL WITH DIRECT KNOWLEDGE (List the name and address of at least one person who is a member or manger of the LLC or an authorized representative with direct knowledge of the operations and business activities of the LLC.)

employees or agents of the limited liability company. This document has been
examined and is true, correct and complete. Making false statements in this document is against the law and can be penalized with fines, imprisonment or both.
