Annual Report or Renewal

An assumed business name renews every two years. All other business entity types renew every year. Your renewal will be due on the anniversary date of filing of the original filing. We send the renewal notices out automatically about 45 days in advance of the due date.

Business Overview

Business Name:
The business name cannot be changed during the filing of a renewal. To change a business name, you must file an amendment. Visit our forms page​ to select the appropriate form to amend.

Activity Description:
A brief description of the primary activity of your business. Examples: Cafe, consulting, beauty shop, automotive repair, booster club.

Business Email:
The email address provided here may be used to send notices to the business.

Mailing Address for Notices:
The address where notices from the Oregon Corporation Division will be sent, including renewal notices. This address may be a Post Office Box.

Daytime Contact:
The name and telephone number of the person who can be contacted during regular business hours (8 a.m.-5 p.m. Pacific Time) if there are questions about the filing of this transaction.

Jurisdiction and Location

Jurisdiction:
The state or country of formation. This cannot be updated.

Primary Physical Location:
Principal office address for the business. The address where the business records are kept. If the entity is from another state or country, this does not have to be an Oregon address.

Registered Agent Information

Registered Agent:
The person or entity authorized to accept legal service of process for the business. This may be an individual or a Business of Record entity. Business of Record entity means it is an entity on file with the Oregon Corporation Division.

The following entity types may be registered agents:
Business Corporation.
Limited Liability Company.
Professional Corporation.
Nonprofit Corporation​.​

Officer Information (Corporations)

President:
List the name and address of the current president. The address may be a post office box.

Secretary:
List the name and address of the current secretary. The secretary may be the same person as the president. The address may be a post office box.

Nonprofit Type Member Information (Nonprofit Corporation Only)

Nonprofit Type:
A nonprofit corporation must be designated as Public Benefit, Mutual Benefit or Religious corporation. This information is provided at the time of initial filing and cannot be updated during the filing of the annual report. Articles of Amendment are required to change this information.  

Members:
A member is defined as the person or entity authorized to accept legal service of process for the business. A nonprofit corporation must designate whether or not it will have members. This information is provided at the time of initial filing and cannot be updated during the filing of the annual report. Articles of Amendment are required to change this information. Member/Manager Information (Limited Liability Companies)

Members or Managers:
List the name and address of at least one member or manager of the limited liability company. The address may be a post office box. 

Partner Information (Limited Liability Partnerships Only)

List the names and addresses of at least two partners of the limited liability partnership. Address information can be updated on the annual report.  ​

General Partner Information (Limited Partnerships Only)

List names and addresses of the general partners of the limited partnership. Address information can be updated on the annual report. General partner information other than the address cannot be updated during the filing of the renewal. Trustee Information (Business Trusts Only)

List names and addresses of the trustees of the business trust. Address information can be updated on the renewal. Trustee information other than the address cannot be updated during the filing of the renewal. Visit our forms page​ to select the appropriate form to amend.​​​​

Assumed Business Name (Update Information)

List the name and address of the authorized representative (person who receives mailed notification) of the assumed business name. Address information may be updated on the renewal. Authorized Representative information other than address cannot be updated on the renewal. An amendment is required to change this information.   ​

List names and addresses of the registrants (owners) of the ABN. Registrant address information may be updated on the renewal. Registrant information other than the address cannot be updated during the filing of the renewal. An amendment is required to change this information.
  
List the counties in which the ABN is registered to do business. This information cannot be updated on the renewal. An amendment is required to change this information. ​
