Amendment-Withdrawal-Limited Liability Company Form Instructions

​The instructions are listed in numerical order to align with the form. They supplement the instructions on the form itself.

Select the appropriate filing type:

AMENDMENT TO APPLICATION FOR AUTHORITY (Complete only 1, 2, 3, 9)

or

WITHDRAWAL OF AUTHORITY TO TRANSACT BUSINESS (Complete only 1, 4, 5, 6, 7, 8, 9)

  1. NAME: of the LLC as registered in Oregon 

  2. INITIAL REGISTRATION DATE OF APPLICATION: Original filing date in Oregon

  3. AMENDMENT: Describe the amendment(s).

  4. STATE OR COUNTRY OF ORGANIZATION: Home jurisdiction, the state of domestic registration. 

  5. ​SURRENDER OF AUTHORITY: Check to confirm the withdrawal of authority.

  6. REVOCATION OF AGENT’S AUTHORITY: Check to revoke the existing Registered Agent’s authority to accept service of process. 
    NOTE: While the Secretary of State’s office will accept service of process, they will not provide any notification.​
  7. MAILING ADDRESS: Address to which a copy of documents served on the Secretary of State may be mailed in order to notify the business about the legal action.

  8. NOTIFICATION: Check to confirm that the LLC will update the mailing address in the Oregon Business Registry for a period of five years after this withdrawal.

  9. EXECUTION: This legal declaration must be signed. If another form is generated, this exact wording must be used.​
